- Review/calculation of company capital relative to projected shareholder loan interest and future draws to ensure compliance with thin capitalisation rules
- Reviewing of all local contracts
- Keeping all SPV company documents up to date on the drive and assist internal and external stakeholders with locating this information
- Draft resolutions for all SPV company business and circulate to directors to sign, file original with company secretary, this includes Annual General Meetings (AGMs)
- Ensure revised company documents and resolutions are scanned and then originals are delivered to the company secretary for filing with BIPA
- Collating and completing of AML/FIA documents and forms, having them signed and then delivered to the relevant parties for any take-on with a bank or other party
- Filing and checking of all FIA documents from local suppliers as part of their take-on
- Updating of all director’s information for future FIA submissions
- Attending monthly steering meetings and recording action items, the printing of documents prior to the steering meeting for attendees
- Liaising with DPS when it comes to documents/signoffs and returns deliveries of these
- Printing of large documents and marking them for signature for the relevant local signatory and delivering the original to the relevant stakeholder, scanning thereof for our records prior to delivery
- General document management and tracking
- Review of resolutions and drafted company documents for correct descriptions of all parties prior to circulating for signature
Additional responsibilities may include:
- Office Management, ordering stationery, checking on supplies, managing petty cash, paying the cleaner and checking on cleaning
- General running of documents/local deliveries of documents or flash drives
- Document management of project/phase take-on documents, ensuring completeness of originals and digital copies.
- Financial statement review of SPVs for AGMs prior to being handed to directors, checking for correct spelling and grammatical usage only.
